End User License Agreement (EULA)

Read this Agreement carefully before you install or use Excel Armor. This End User License Agreement ("EULA" or "Agreement") is a legal contract between you (an individual or, where you act on behalf of an organization, that organization, in either case "Licensee" or "you") and Excel Armor, located at Rabbi Averbuch 26, Ramat Hasharon 4740020, Israel ("Licensor", "we", "us"). By installing, copying, accessing or otherwise using the Software, or by clicking "I accept" or any equivalent button, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.

1. Definitions

  • "Software" means Excel Armor, including all components delivered with it, all updates and upgrades we provide, and the accompanying documentation.
  • "Authorized Device" means a computer that you own or control, on which the Software has been installed and registered to your license.
  • "License Key" means the alphanumeric key we issue to you that identifies your license.
  • "Verification Service" means our online service that receives requests from the Software, validates your license and returns an approval or denial response.

2. Grant of license

Subject to your full and ongoing compliance with this EULA and to payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Install and use the Software on the number of Authorized Devices permitted by the license you purchased (1 unless stated otherwise on the order confirmation);
  • Use the Software only for your internal business or personal purposes;
  • Make one backup copy of the Software for archival purposes.

All rights not expressly granted to you are reserved by us.

3. License verification mechanism (read carefully)

The Software contains an online license verification feature. By using the Software you acknowledge and agree that:

  1. The Software requires an active internet connection in order to verify your license at startup and at periodic intervals during use.
  2. The Software sends to the Verification Service a request containing your License Key, your registered email address and a non-reversible identifier derived from the serial number of your computer's primary drive ("Device ID").
  3. The Verification Service responds with either an approval or a denial, based on the validity, status and entitlements of your license.
  4. The Software does not modify, delete, encrypt, move, transmit or otherwise alter any of your files, workbooks, VBA code, data, settings or system, whether the verification is approved or denied. Your files and data remain at all times on your device and under your sole control.
  5. If a verification request is denied, the Software's internal logic restricts which features are available to you during that session. The Software, the workbooks and projects you have created and your data are not affected by the denial.
  6. Verification may be denied if, for example, your license has expired, has been used on more devices than permitted, has been suspended due to a chargeback or breach of this EULA, or your payment has been reversed.
  7. If your verification is denied and you believe this is in error, you may contact us at [email protected] for human review.
  8. The Software will not function, in whole or in part, without successful verification. You are responsible for ensuring you have a working internet connection when you use the Software.

4. Restrictions

You shall not, and shall not permit any third party to:

  1. Copy, reproduce or distribute the Software except as expressly permitted in this EULA;
  2. Sell, resell, rent, lease, sublicense, lend, assign or otherwise transfer the Software, the License Key or your account to any third party;
  3. Modify, adapt, translate or create derivative works based on the Software;
  4. Reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Software, except, and only to the extent, that applicable mandatory law expressly permits such activity notwithstanding this prohibition; in particular, if you are a lawful user established in the European Union, the limited rights granted by Articles 5 and 6 of Directive 2009/24/EC are not affected by this clause;
  5. Bypass, disable, circumvent or interfere with the Verification Service, the License Key check or any technological protection measure in the Software;
  6. Remove, alter or obscure any copyright, trademark, license or other proprietary notices contained in or on the Software;
  7. Use the Software in a way that violates any applicable law or regulation, including export control and sanctions laws;
  8. Use the Software to develop a competing product or to benchmark the Software for the purpose of developing a competing product;
  9. Share your License Key or account credentials with any other person.

5. Updates and support

We may, but are not obliged to, provide updates, upgrades and bug fixes for the Software. When we do, those updates are governed by this EULA unless they are accompanied by a separate license. We may discontinue support for any version of the Software at any time. Support is provided on a commercially reasonable best-effort basis at the contact email indicated on our Site.

6. Ownership

The Software is licensed, not sold. We and our licensors retain all right, title and interest in and to the Software, including all intellectual property rights. You acknowledge that the Software contains valuable trade secrets and confidential information of ours.

7. Term and termination

This EULA is effective from the date you first install or use the Software and continues until terminated.

This EULA terminates automatically if you breach any of its terms. We may also terminate this EULA at any time on reasonable notice if your license is suspended due to chargeback, fraud or unauthorized use, or if we are required to do so by law.

Upon termination:

  • The license granted to you ends. You must stop using the Software and uninstall it from all Authorized Devices.
  • The Verification Service will deny further verification requests for your License Key, which will result in the Software's features being unavailable to you.
  • We do not access, modify or delete your files or data on your device. Files and projects you have created remain in your possession; however, you must not continue to use the Software with respect to them.
  • Sections that by their nature should survive (including 4, 6, 8, 9, 10, 11, 12, 14, 15, 17, 18) survive termination.

8. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, quiet enjoyment or freedom from defects. We do not warrant that the Software will meet your requirements, will be uninterrupted or error-free, or will prevent all unauthorized access to your workbooks, code or data.

You are solely responsible for maintaining your own backups of any files, workbooks, code, settings or data used with the Software, and we shall not be liable for any loss of data. The Software's normal protection operations are performed on copies of your files in order to leave the originals unchanged; nonetheless, you are responsible for verifying outputs before relying on them in production.

Nothing in this EULA limits any non-waivable rights you have as a consumer under applicable law. If you are a consumer, you may have statutory rights against us in respect of defects in the Software which cannot be excluded; these rights are not affected by this EULA.

9. Limitation of liability

To the maximum extent permitted by applicable law:

  • In no event will we be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or the cost of substitute goods or services, arising out of or relating to this EULA or the Software, even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose.
  • Our total aggregate liability arising out of or related to this EULA or the Software, regardless of the basis of the claim, will not exceed the amount you actually paid us for the license in the 12 months preceding the event giving rise to the claim.

Nothing in this clause excludes or limits liability that cannot be excluded by law, including liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence. If you are a consumer, your statutory rights are not affected.

10. Indemnification

If you are using the Software in the course of a trade, business, craft or profession, you agree to indemnify and hold us harmless from any third-party claim, loss, damage, liability and expense (including reasonable legal fees) arising out of your use of the Software in breach of this EULA or in violation of applicable law or third-party rights.

11. Confidentiality

You acknowledge that the Software contains confidential information and trade secrets. You will not disclose, publish or otherwise make available any confidential information about the Software, including any non-public technical details, to any third party, except to your employees and contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this EULA.

12. Export controls and sanctions

You shall comply with all applicable export control and sanctions laws of Israel, the United States, the European Union and any other applicable jurisdiction. You confirm that you are not located in, and you are not a national or resident of, any country or territory subject to a comprehensive embargo, and that you are not on any list of restricted parties.

13. Privacy

Our processing of personal data in connection with the Software, including the verification logs and the Device ID, is described in our Privacy Policy, which is incorporated into this EULA by reference.

14. Changes

We may update this EULA from time to time. The current version will be posted on our Site. For material changes, we will notify you by email. If you do not accept the updated EULA, your sole remedy is to stop using the Software; in that case the previous version will continue to govern your existing license until your next verification request, at which time the updated EULA will apply if you continue to use the Software.

15. Governing law and jurisdiction

This EULA is governed by the laws of the State of Israel, without regard to its conflict of laws rules. The exclusive jurisdiction for any dispute is the competent courts of Tel Aviv, Israel. If you are a consumer with habitual residence in the European Union, the United Kingdom or another jurisdiction whose mandatory consumer protection laws apply to you, nothing in this clause deprives you of the protection of those mandatory provisions, and you may bring proceedings in the courts of your country of residence in accordance with applicable law.

16. General

This EULA, together with the Terms of Service, the Privacy Policy and the Refund Policy, is the entire agreement between you and us concerning the Software, and supersedes any prior or contemporaneous communication. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of that provision. You may not assign this EULA without our prior written consent. We may assign this EULA in connection with a merger, acquisition or sale of substantially all of our assets.

17. No affiliation with Microsoft

The Software is independently developed and published by Excel Armor. It has no business, commercial, sponsorship, partnership or endorsement relationship of any kind with Microsoft Corporation. Microsoft®, Microsoft Excel®, Visual Basic® and Visual Basic for Applications are trademarks or registered trademarks of Microsoft Corporation in the United States and other countries; any third-party .NET IL obfuscator and any other third-party tools referenced by the Software are the property of their respective owners. All such references are made under nominative fair use for identification purposes only, and do not imply any endorsement of the Software by, or affiliation of the Software with, the respective trademark owners.

18. In-software acceptance and order of precedence

The Software displays a short-form license summary when first opened and requires you to click "I agree" before use. That short-form summary incorporates this EULA by reference. In the event of any conflict between the short-form summary displayed inside the Software and this EULA published at https://excel-armor.com/eula, the version published on our website at the date of the conflict shall control.
